  2.               TELECOMMUNICATIONS SERVICE AGREEMENT 
  3.  
  4. Golden Hours BBS, referred to herein as BBS, and Idle Time BBS
  5. referred to herein as  SYSTEM, agree: 
  6.  
  7.  
  8. BBS is engaged in the provision of telecommunications service via 
  9. a computer bulletin board system. SYSTEM desires, and BBS agrees 
  10. that the present accounts of BBS shall be transferred to SYSTEM 
  11. under the terms of this agreement. 
  12.  
  13. The effective date of the transfer shall be March 15, 1995. 
  14.  
  15. As soon as possible after the execution of this agreement, BBS 
  16. shall place a notice on its system informing users of the 
  17. transfer of their accounts. 
  18.  
  19. BBS shall provide on disk, in a form mutually agreeable to the 
  20. parties hereto, a complete list of the paid users of BBS's system 
  21. together with the access levels provided to each. SYSTEM shall 
  22. provide the users of BBS with access to SYSTEM which is 
  23. substantially identical to that presently given to them by BBS.

  25. SYSTEM shall be responsible for completing of the following 
  26. contracts entered into between BBS and others, copies of which 
  27. are attached hereto as exhibits. Other than these specific 
  28. contracts between BBS and none, there are no other agreements 
  29. which SYSTEM shall be obligated to abide by or complete.

  33. At least 15 days prior to the effective date, BBS shall provide 
  34. SYSTEM in a mutually agreeable medium, the complete files of the 
  35. SYSTEM.

  38. As of March 14, 1995, BBS shall cease accepting new accounts, and
  39. shall  advise all users of BBS's systems desiring to renew, or new
  40. users,  to register with SYSTEM. 
  41.  
  42. SYSTEM shall have the sole authority after the effective date to 
  43. determine whether to make refunds or other adjustments in the 
  44. account of user's transferred by BBS.

  49. BBS shall provide SYSTEM with documentation and records related 
  50. to any accounts receivable due to the SYSTEM. BBS guarantees that 
  51. the debts are properly documented and enforceable. All 
  52. collections from receivables shall be divided as follows:

  54. 60% Idle Time, 40% Golden Hours 
  55.

  59. SYSTEM shall have the right to use the trade marks and trade 
  60. names of BBS, and any graphical representations thereof.

  63. SYSTEM shall indemnify BBS from any and all claims and demands 
  64. related to the conduct of SYSTEM as to transferred accounts 
  65. except for consumer claims for refunds and adjustments related 
  66. solely to the change in the accounts. SYSTEM shall provide 
  67. sufficient facilities to handle its present traffic and the 
  68. accounts transferred herein in a matter that is acceptable within 
  69. the remote computer bulletin board system industry. It shall be 
  70. presumed that SYSTEM has provided sufficient capacity if its 
  71. total usage is less than or equal to 85% of system capacity.

  75. SYSTEM shall pay to BBS the following compensation:

  77. 15% net collections

  81. This is the entire agreement between the parties, and the 
  82. agreement may only be changed by the written agreement of the 
  83. parties. BBS shall have reasonable access to the records of 
  84. SYSTEM, including the computer facility itself, to verify 
  85. compliance with this agreement.
